Let’s Thrive Terms of Use: Wellbeing Program

These Terms govern participation in the Let’s Thrive Wellbeing Program (“the Program”). By signing a Let’s Thrive Service Agreement or by accessing or using the Program, you agree to these Terms.

In these Terms, “the Centre”, “you” or “your” means the childcare centre, early childhood education service, or other organisation that signs up to the Program, including its owners, managers, and authorised representatives.
These Terms of Use (“Terms”) are issued by FURM Group Ltd, a New Zealand registered company (“FURM Group”, “Let’s Thrive”, “we”, “our”, “us”). FURM Group owns the intellectual property in the Let’s Thrive Wellbeing Program and delivers this Program to childcare centres, either directly or in collaboration with ECEASY NZ Ltd.
If there is any conflict between these Terms and the signed Service Agreement, the Service Agreement clause will prevail. 1. Program Scope The Program provides wellbeing content, resources, training, and support for childcare centre staff. It is a coaching and support initiative only, not medical, therapeutic, or clinical advice. The Program is not designed for children. 2. Program Outcomes Let’s Thrive delivers structured wellbeing content, resources, training, and support. Outcomes such as wellbeing, morale, attendance, sick leave, retention, performance, or quality of work vary between individuals and centres. While positive results are often reported, Let’s Thrive does not guarantee specific outcomes or metrics. Variation in outcomes, including no measurable improvement, does not release the Centre from payment obligations. No refunds: Fees remain payable for the full term chosen in the Service Agreement, even if participation is reduced or terminated early. 3. Centre Responsibilities Nominate and maintain at least one Wellbeing Champion. Ensure staff participation is voluntary, not mandatory or coercive. Remain responsible for HR, employment, WorkSafe, and ACC obligations. Obtain staff consent before enrolling them in Program communities. Ensure Program activities do not override staff duties to children or their employment obligations. 4. Wellness Coach Access The Wellness Coach provides scheduled support through Champions. Not available for daily or on-demand support. The Coach does not provide counselling, crisis intervention, or medical services. 5. Breach and Remedies The Centre is in breach if it: Fails to pay fees, Misuses Program materials, Misrepresents the Program, Fails to comply with responsibilities, or Acts in a way that damages Let’s Thrive’s brand. Let’s Thrive may suspend or terminate participation for breach, with fees still payable. 6. Liability and Indemnity

The Centre participates in the Program at its own risk. To the maximum extent permitted by law, Let’s Thrive (through FURM Group Ltd) will not be liable for: indirect, special, or consequential loss, loss of profits, revenue, goodwill, or anticipated savings, or claims arising from employment matters, HR disputes, or staff performance. Let’s Thrive’s total aggregate liability under these Terms, and in connection with the Program, is limited to the total fees paid by the Centre for the current subscription term (being either four months or twelve months, depending on the term selected in the Service Agreement). Indemnity: The Centre indemnifies Let’s Thrive against any claims, costs, damages, or liabilities made by staff, parents, regulators, or third parties in connection with the Program, including but not limited to matters involving HR, WorkSafe, ACC, or ERA proceedings. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or liability that cannot be excluded under New Zealand law. 
The Centre participates at its own risk. Let’s Thrive is not liable for injury, loss, or claims arising from participation. 7. Intellectual Property All Program content and materials remain Let’s Thrive’s property. Content may only be used while subscribed, for internal staff use. Materials must not be copied, shared, or reused for other purposes. 8. Privacy and Community Participation In Program groups (training calls, online communities, digital platforms), participant names or contact details may be visible to others. Absolute privacy cannot be guaranteed. The Centre must obtain staff consent before enrolling them. 9. Other Legal Terms Recognition Badges: Any badges, certificates, or acknowledgments issued are for recognition only, and are not formal qualifications/certifications. Non-solicitation: The Centre may not hire or contract directly with Let’s Thrive staff, coaches, contractors or suppliers for 12 months after termination. Force Majeure: Let’s Thrive is not liable for delays or failures caused by events outside its control. Dispute Resolution: Parties will attempt resolution in good faith, then mediation before legal action. Entire Agreement: These Terms and the signed Service Agreement together form the full agreement. Governing Law: These Terms are governed by New Zealand law.

10. Updates to These Terms Let’s Thrive (through FURM Group Ltd) may update, amend, or replace these Terms at any time.
FURM Group Ltd may assign, novate, or transfer these Terms, and its rights and obligations under them, to another company within its group or to any successor entity delivering the Let’s Thrive Program. Notice of such assignment will be provided by updating these Terms on our website. The Centre may not assign or transfer its rights or obligations under these Terms without Let’s Thrive’s prior written consent.
By continuing to access or use the Program after any update, the Centre agrees to the updated Terms.
